Welcome to vacationsavers.com (The “Website”) of Vacation Savers Portal LLC (Vacation Savers, or US or WE or OUR) The following are the terms of use that govern use of the Website (“Terms of Use”). You (The “User”) By using the Website, you expressly agree to be bound by these Terms of Use and the privacy policy and to follow these Terms of Use and all applicable laws and regulations governing use of the Website. Vacation Savers reserves the right to change these Terms of Use at any time, effective immediately upon posting on the Website. Please check this page of the Website periodically. We will note when there are updates to the Terms of Use at the bottom of the Terms of Use. If you violate these Terms of Use, WE may terminate your use of the Website, bar you from future use, and/or take appropriate legal action against you.

We will not trade with or provide any services to OFAC and sanctioned countries.

PRIVACY
Our Privacy Policy is incorporated into, and made a part of, these Terms of Use.

LIMITED LICENSE
You are granted a limited, non-exclusive, revocable and non-transferable license to utilize and access the Website pursuant to the requirements and restrictions of these Terms of Use. Vacation Savers may change, suspend, or discontinue any aspect of the Website at any time. WE may also, without notice or liability, impose limits on certain features and services or restrict your access to all or portions of the Website. You shall have rights to the proprietary software and related documentation, if any, provided to you in order to access the Website. Except as provided in the Terms of Use, you shall have no right to directly or indirectly, own, use, loan, sell, rent, lease, license, sublicense, assign, copy, translate, modify, adapt, improve, or create any new or derivative works from, or display, distribute, perform, or in any way exploit the Website, or any of its contents (including software) in whole or in part.

MULTI-CURRENCY PRICED TRANSACTION
The displayed price and currency selected by you, will be the same price and currency charged to the Card and printed on the Transaction Receipt.

PURCHASES
Vacation Savers accepts payment by Visa or Mastercard debit and credit cards in US Dollars for its products and services. All online purchases are also governed by the terms and conditions of respective merchant service providers. Please review respective merchant service provider’s user agreement and privacy policy before entering any transaction. Interpretation. These Terms of Use supersede all other written and oral communications or agreements with regard to the subject matters discussed in these Terms of Use. A waiver or modification of these Terms of Use will only be effective if made in writing signed by OUR authorized officer. All refunds will be made onto the original mode of payment.

SERVICES PRICING and its DESCRIPTION
We do not offer commissions on any reservations.

REFUND POLICY
Refunds on reservations will be done only through the Original Mode of Payment and will be processed within 10 to 45 days depends on the issuing bank of the credit card.

SUBSCIPTIONS
Our Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles will be set depending on the type of subscription plan you select when purchasing a membership (Subscription). At the end of each Billing Cycle after 24 months, your Subscription will automatically renew under the exact same conditions unless you cancel it or myvacationsavers cancels it. You may submit your cancelation request renewal either through your online account management page or by contacting memberservice@vacation-savers.com customer support team.

A valid payment method is required to process the payment for your subscription. You shall provide myvacationsavers with accurate and complete billing information that may include but not limited to full name, address, state, postal or zip code, telephone number, and a valid payment method information for the period of membership. By submitting such payment information, you automatically authorize myvacationsavers to charge all Subscription fees incurred through your account to any such payment instruments. You represent and warrant that: (i) you have the legal right to use any card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete. We may employ the use of third-party services for the purpose of facilitating payment and the completion of Subscription. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy. Should automatic billing fail to occur for any reason, myvacationsavers reserves the right to terminate your access to the Service with immediate effect without prior notification.

CANCELATION POLICY
Each subscription is valid for a minimum timeframe period of 24 months, each client may and can submit a cancelation notification to memberservice@vacation-savers.com at least 1 month prior to the end of their 24 months and the subscription shall not be renewed, failure to do this, will result in an automatically renewal for an additional 24 months. Refunds are not offered.

REPRESENTATIONS BY YOU
By visiting the Website, you represent, warrant and covenant that (a) you are at least 18 years old; (b) that all materials of any kind submitted by you to US through the Website or for inclusion on the Website will not plagiarize, violate or infringe upon the rights of any third-party including trade secret, copyright, trademark, trade dress, privacy, patent, or other personal or proprietary rights. The customer using the website who are Minor /under the age of 18 shall not register as a User of the website and shall not transact on or use the website.

PERMITTED USE
You agree that you are only authorized to visit, view and to retain a copy of pages of this Website for your own personal use, that you shall not duplicate, download, publish, modify or otherwise distribute the material on this Website for any purpose other than for personal use, unless otherwise specifically authorized by Vacation Savers to do so. You also agree not to deep-link to the Website for any purpose, unless specifically authorized by US to do so. The content and software on this Website is the property of Vacation Savers. The cardholder must retain a copy of transaction records and Merchant policies and rules.

TYPOGRAPHICAL ERRORS
In the event OUR product is mistakenly listed at an incorrect price, Vacation Savers reserves the right to refuse or cancel any orders placed for product listed at the incorrect price. WE reserve the right to refuse or cancel any such order or booking even if the reservation has been confirmed and your credit card charged.

ERROR REPORTING AND FEEDBACK
You may provide us either directly at memberservice@vacation-savers.com or via third party Websites and tools with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service (“Feedback”). You acknowledge and agree that: (i) you shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback; (ii) WE may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential information or proprietary information from you or any third party; and (iv) Vacation Savers is not under any obligation of confidentiality with respect to the Feedback. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Vacation Savers and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose.

YOUR ACCOUNT
If you use Vacation Savers Website, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your account from any devices, and you agree to accept responsibility for all activities that occur under your account or password. The Website shall not be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with, your failure to comply with this section.

PRODUCT EFFICACY
If for any reason the product does not work for a particular individual or if the person is unsatisfied for any reason whatsoever, Vacation Savers in no way implies or warrants that any of the products contained on this Website will work for every person as individual results may vary.

This Website may not be used by you for any commercial purposes such as to conduct sales of merchandise or services of any kind. You must obtain Vacation Savers’ prior written consent to make commercial offers of any Vacation Savers kind on the Website, whether by advertising, solicitations, links, or any other form of communication. Tar will investigate and take appropriate legal action against anyone who violates this provision, including without limitation, removing the offending communication from the Website and barring such violators from use of the Website.

VACATION SAVERS have no control over these Websites or the content within them. violates the law. You agree that monetary damages may not provide a sufficient remedy to US for violations of these Terms of Use and you consent to injunctive or other equitable relief for such violations. WE may release user information about you if required by law or subpoena.

BOOMERANG REWARDS
Earn a certain % of the savings in Reward Credits when your friends book hotels via your account.

The On-line Materials may not be copied or redistributed either in whole or in part without prior written consent of VACATION SAVERS, except as expressly and specifically permitted under these Terms of Use. The On-line Materials are and will remain the exclusive property of VACATION SAVERS. All rights, titles and interests in and to the On-line Materials will be and remain vested solely in VACATION SAVERS. Under no circumstances will you have any right, directly or indirectly, to own, use, copy, loan, sell, rent, lease, license, sublicense, redistribute, assign or otherwise convey the On- line Materials, or any rights thereto, except as expressly and specifically provided in the Terms of Use. PAYMENT CONFIRMATION
Once the payment is made, the confirmation notice will be sent to the client via email within 24 hours of receipt.

LIMITATION OF LIABILITY

EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF VACATION SAVERS, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

You agree that you shall waive all claims and have no recourse against US for any alleged or actual infringement or misappropriation of any proprietary rights in any communication, content or material submitted to US. Any communication or materials you send to US will be treated as nonconfidential and non-proprietary and may be disseminated or used by Vacation Savers for any purpose, including, but not limited to, developing, creating, manufacturing or marketing products or services.

APPLICABLE LAW AND DISPUTES
The Laws of Dubai, United Arab Emirates shall govern the use of the Website and the Terms of Use, without regards to conflict of laws principals. All disputes arising in connection therewith shall be referred to and finally resolved by arbitration under the DIFC – LCIA, which rules are deemed
to be incorporated by reference into this clause. The seat, or legal place of arbitration shall be DIFC in Dubai, UAE. The language to be used in the arbitral proceeding shall be English. Any notice of dispute shall be served on the address indicated in this Agreement.

SEVERABILITY
If any provision of the Terms of Use is held to be invalid, void or unenforceable, the remaining provisions shall nevertheless continue in full force and effect. Headings & section titles in this Agreement are for convenience and do not define, limit, or extend any provision of this Agreement.

ACCEPTANCE
By acknowledging your acceptance of these terms and conditions, Vacation Savers agrees to honor its obligations contained herein and in its Privacy Statement which may change from time to time and which you accept so long as Vacation Savers, posts reasonable notice of such changes on the Website, as well as any other terms for providing service which we may place in writing from time to time. Hereby, You acknowledge that You read the following terms and will be bound by them.

• You understand and accept that You are buying right of a membership in Vacation Savers that entitles You to certain benefits and discounts.
• You understand and accept that Vacation Savers reserve the rights to establish and adapt any type of system for the reservations and for any other use.
• You understand and accept that Vacation Savers requires the member to be in good standing with regards to the payment of the membership subscription, monthly payments as a condition of the reservations made by the You.
• You understand and accept that You require to pay a total of 24x monthly payments, in full or monthly, as a member. Failure to notify Vacation Savers to decline renewal prior to the first 24 months will result in an automated renewal for an additional 24x month.
• You understand that your boomerang points will expire if renewal is not made within the 24x months.
• You understand and accept that 5% VAT of the purchase price and monthly payments are excluded and must be billed to you.
• You understand and accept that the prices for all reservations are subject to the prices stated on the Vacation Savers Website / application and that they will vary depending on the location / accommodation that You select.

ACKNOWLEDGEMENT
BY USING THE WEBSITE, SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE, UNDERSTAND THEM AND AGREE TO BE BOUND BY ALL THE TERMS AND CONDITIONS HEREIN AND ITS AMENDMENTS FROM TIME TO TIME.
